Hill's Course Terms and Conditions

1. GENERAL
a) By participating in the Hill’s Nutritional Nurse Consultation Course (the Course), participants agree to be bound by these conditions.
b) The Course organiser and content provider is Hill’s Pet Nutrition Pty Limited ABN 86 003 954 550 of Level 14, 345 George Street, Sydney, NSW, 2000 (Hill’s). Hill’s telephone number is 1800 679 932. Hill’s Pet Nutrition will operate and administer the Course as outlined in this Terms and Conditions.
c) Hill’s will deliver aspects of the course components on a third party platform such as Learnworlds (CY) LTD, company number HE380294 or have a part of the online content of the Course delivered by PROVET PTY LTD trading as “CRAMPTON CONSULTING GROUP” (“CCG” ABN 54 057 048 664). You must agree with separate terms and conditions of Learnworlds and CCG in order to participate in the Course.
d) Application to participate in the Course is by invitation only.

2. ELIGIBILITY TO PARTICIPATE IN THE COURSE
To be eligible to participate in the Course, participants must:
a) receive an invitation from a Hill’s Territory Manager;
b) have attained a Cert IV Veterinary Nursing (or equivalent qualifications, to be determined at Hill’s sole discretion);
c) be currently employed as a veterinary nurse in an Australian or New Zealand veterinary practice for a minimum of 20 hours per week;
d) be resident of Australia or New Zealand aged 18 years and over;
e) create an account and log in to hillsvet.learnworlds.com to complete course application;
f) have your practice owner fill in and sign the Practice Owner/Practice Manager Agreement for you to upload during the online application process; and
g) fully submit and complete all steps in the application process set out in clause 3 of the Terms and Conditions.
h) During the course participants will be required to create an account and log in to http://www.provetccg.com.au/ to complete course components.
i) Hill’s accepts a maximum of 100 course applications for each calendar year.

3. APPLICATION TO PARTICIPATE IN THE COURSE
a) To complete the application process participants will be required to create an account at hillsvet.learnworlds.com account and log in to fully complete the online form, including acknowledging and agreeing to the Terms and Conditions..
b) Participants must submit: (1)h certified copies of any relevant documentation evidencing their qualifications referred to in sub-clause 2(b) above (e.g. certificates, academic transcript etc); (2) a Hill’s Small Animal Nutrition Course certificate; (3) A Hill’s Pet Wellness and Life Stage Feeding Course certificate and (4) a signed Owner/Practice Manager Agreement referred to in sub-clause 2(e) 
C) Applicants will have 8 weeks to complete the application and prerequisites.

4. SELECTION OF COURSE PARTICIPANTS
a) Hill’s will select up to 100 participants to participate in the Course from valid Course applications received for each calendar year. Hill’s will notify selected course participants by email within 15 days from the full completion of the application process.
b) Hill’s reserves the right to determine in its absolute discretion whether a participant may participate in the Course.
c) A maximum of two eligible veterinary nurses per veterinary practice will be able to participate at any one time.
d) Any decision by Hill’s regarding participation in the Course, or these Terms and Conditions, is final and no correspondence will be entered into regarding any such decisions.
e) Participants who have completed the application process specified in clause 3 of the Terms and Conditions and who are selected by Hill’s to participate in the Course will be granted access to Stage 1 Training on the hillsvet.learnworlds.com platform.

5. COURSE COMPONENTS
a) Course components and timelines are set out in further detail in Annexure A to these Terms and Conditions (Course Components).
b) To successfully complete the Course, all Stage 1 Course Components (set out in Table 1 and 2 of Annexure A) must be completed within 12 months of the application process approval and, all Stage 2 Course Components (set out in Table 3 of Annexure A) must be completed within 24 months from the date that the Course commences (Course Period).
Upon successful completion of the Course, participants will receive a certificate from Hill’s documenting their completion of the Course.
c) Extensions of time to complete the Course Components may be applied for in writing to Hill’s. The granting of such extensions is at the sole discretion of Hill’s. Any decision by Hill’s to extend the Course Period is final and no correspondence will be entered into.
d) If Course Components are not completed within the stated period of time access to the course may be revoked at Hill’s sole discretion.
e) Course Components and associated activities are set by Hill’s. Course Components and associated activities are subject to availability, and Hill’s reserves the right to vary or change any Course Components or associated activities without prior notice.
f) The hours associated with each Course Component as set out in Annexure A are an approximate indication of the duration of each component. Actual duration may vary, and will depend on the efficiency, skill, and knowledge of individual participants.
g) All Stage 1 Course Components (set out in Table 2 of Annexure A) must be completed prior to the Hill’s Nurses Weekend Retreat RSVP date. If the participant has not completed all Stage 1 Course Components by the Hill’s Nurses Weekend Retreat RSVP date the participant is not eligible to register for the Hill’s Nurses Weekend Retreat. .
Participation in the Hill’s Nurses Weekend Retreat is a compulsory part of the course components. Hill’s, at its discretion, decides the location/ media/mode of delivery and contents of Hill’s Nurses Weekend Retreat. Alternative training may be provided by Hill’s, at Hill’s discretion, to a participant who is unable to attend the Hill’s Nurses Weekend Retreat in order to enable completion of the academic component of the Hill’s Nurses Weekend Retreat.
h) Stage 3 is optional and is at the nurse or clinic’s own cost as described in Table 4 of Annexure A. Stage 3 Course Component (set out in Table 4 of Annexure A) can be accessed at discounted cost for up to 6 months after Stage 2 completion date. Upon successful completion of Stage 3 participants will receive a certificate from Crampton Consulting Group documenting their completion of the Course. 
i) Each participant warrants that all work submitted while participating in the Course is their original work, and that any such work submitted will not infringe the intellectual property rights of any third party, or any applicable laws.
j) Hill’s reserves the right to, at any time:
i. invalidate any work which it reasonably suspects breaches clause 5(i);
ii. disqualify any participant whom it reasonably suspects has breached clause 5(i); or
iii. disqualify any participant whom it reasonably suspects has paid, bartered, or offered payment to a third party in exchange for the production of any submitted Course work.
k) In the event Hill’s exercises the right under clause 5(j), Hill’s may report such event to the participant’s Practice Owner/ Manager.
l) Each participant grants to Hill’s a worldwide, royalty-free, irrevocable, perpetual license to use, edit, or publish in any media, any work submitted by the participant during the Course without further acknowledgement or compensation.

6. COST EXCLUSIONS:
The following costs, charges, and expenses are not included in the Course, and will be the sole responsibility of individual participants:
a) Any internet charges incurred while completing any online Course Components.
b) All costs, charges and expenses in relation to participation in Hill’s Nurses Weekend Retreat including, but not limited the following:
i. travel costs to and from the venue;
ii. registration fee (which will not exceed $149) payable to Hill’s subject to separate terms and conditions to be provided by Hill’s;
travel insurance;
fees for optional post conference tour
travel, meal or accommodation costs incurred prior to or after attending the Hill’s Nurses Weekend Retreat;
 additional itinerary items such as events or tours, and spending money.
c) Any costs, charges, or expenses incurred by the participants while completing the Nutritional Nurse Consultation Course Component, including (but not limited to) costs, charges, or expenses associated with the provision of a consultation room or other appropriate space required to conduct the Nutritional Nurse Consultations; and
d) Any wages that the participant may not be eligible for as a result of attending the Course, or any costs, charges or expenses associated with arranging for a replacement nurse at any stage while the participant is studying or absent from their practice due to participation in the Course.
e) Vet Nurse Consultations Intelligence Course Component (as set out in Table 3 of Annexure A) is optional and is at the nurse or clinic’s own cost). 

7. LEAVING PLACE OF EMPLOYMENT
a) While participating in the Stage 1 and Stage 2 of the Course, if the participant decides to cease employment at their current practice, the participant must advise Hill’s in writing at least 14 days prior to ceasing employment. The participant acknowledges that a change in their place of employment during the Stage 1 and Stage 2 of the Course renders their registration in the Course invalid. However, Hill’s may, at its sole discretion, permit the participant to continue the Course at their new place of employment, subject to appropriate consent being provided by the participant’s new place of employment. If the participant is permitted to continue the Course at their new place of employment, a new practice owner/ practice manager agreement must be signed by the practice manager/owner of the participant’s new clinic. Once a new practice owner/ practice manager agreement has been signed, all previously completed Course components will remain valid. No refund will be made in any form in the event of termination of the participation under this clause.

8. PRIVACY
a) Hill’s protects, collects and uses personal information provided to it in accordance with its Privacy Policy. Please refer to http://www.hillspet.com.au/en-au/legal-statement-andprivacy-policy.html

 b) Learnworlds collects and uses participants’ personal information in accordance with its Privacy Policy. Please refer to https://www.learnworlds.com/data-security/
c) CCG collects and uses personal information provided to it in accordance with its Privacy Policy. Please refer to http://https://www.provetccg.com.au/privacy-policy/
d) Your personal information will be collected and used for the purposes of processing your application for the Course and for delivery and administration of the Course by Hill’s.
e) By providing the information requested, you consent for Hill’s to the use of your personal information as described. Participants further consent to their names and photographs being used in Hill’s promotional materials, media and websites for an indefinite period without any further reference or payment to you. You may access, remove and/or update your personal information that you provide to Hill’s and obtain a copy of Hill’s Privacy Policy by contacting privacyofficerhills_australia@hillspet.com or 1800 679 932 during office hours.
 f) Hill’s may disclose your personal information to its agent and subcontractors for the purposes for which your personal information was collected as described above.
g) The Participant hereby assigns all intellectual property contained or included in the participants Course application form to Hill’s.

9. MISCELLANEOUS
a) Hill’s will not be responsible for any loss, injury or damage suffered by participants while participating in any part of the Course.
b) Hill’s reserve the right, at any time, to request verification of age, identity, residential address or employment status of any participant, confirmation that the participant has complied with these Terms and Conditions, and any other information relevant to the participant’s application to participate in the Course. Verification is at the discretion of Hill’s, whose decision is final. Hill’s reserve the right to revoke any application of any participant who is involved in any way in interfering or tampering with the application process or otherwise. Failure by Hill’s to enforce any of its rights at any stage does not constitute a waiver of those rights.
 c) Hill’s may terminate or may vary these terms and conditions at any time, except to the extent that Hill’s right to terminate or vary is prohibited by applicable law. Participants may terminate these terms and conditions and their participation in the Course at any time by notifying Hill’s.
d) Nothing in these Terms and Conditions limits, excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act, as well as any other implied warranties under the ASIC Act or similar consumer protection laws in the State and Territories of Australia (“Non-Excludable Guarantees”).
 e) Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, Hill’s (including its respective officers, employees and agents) is not responsible for and excludes all liability (including negligence), for any personal injury, or any loss or damage (including loss of opportunity), whether direct, indirect, special or consequential, arising in any way out of:
i. attendance or participation in any Course Component;
ii. any Course application that is late, lost, altered, damaged or misdirected (whether or not after receipt by Hill’s) due to any reason beyond the reasonable control of Hill’s; or
iii. any variation or cancellation of the Course.
f) The participant understands Hill’s is not an education provider. The Course is intended solely to help to improve participant’s knowledge and expertise that are related to pet nutrition, pet food and Hill’s products. The certificate which participants receive from Hill’s is to record their completion of the Course and it is not intended to accredit the participants in any officially recognised way. Some course components attract AVNAT CPD points and can be submitted by each individual participant to the AVNAT online register here.
 as these course components are completed. The participant understands that their participation in all Course Components is at their own risk, and that certain Course Components (including, but not limited to the Hill’s Nurses Weekend Retreat) are subject to separate terms and conditions which will be provided by Hill’s to the participant. Hill’s will not be responsible for any changes to or cancellation of Course Components due to unforeseen circumstances.
g) Any tax liability incurred in participating in the Course will be the sole responsibility of the individual participant.
h) The laws of New South Wales, Australia, apply to these Terms and Conditions to the exclusion of any other law. Participants submit to the exclusive jurisdiction of the courts of New South Wales, Australia.

Site Terms and Conditions 

This agreement applies as between you, the User of this Website and Hill's Pet Nutrition Australia, the owner(s) of this Website. Your agreement to comply with and be bound by the following Terms and Conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these Terms and Conditions, you should stop using the Website immediately.
No part of this Website is intended to constitute a contractual offer capable of acceptance. Your order constitutes a contractual offer and Our acceptance of that offer is deemed to occur upon Our sending a confirmation email to you indicating that your order has been accepted.

1. Definitions and Interpretation

In this Agreement the following terms shall have the following meanings:
"Account": means collectively the personal information, used by Users to access Content and / or any communications System on the Website;
"Content": means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Website;

"Services": means the services available to you through this Website, specifically use of the hillsvet.learnworlds.com proprietary e-learning platform;
"Payment Information": means any details required for the purchase of Services from this Website. This includes, but is not limited to, credit / debit card numbers, bank account numbers and sort codes;
"Premises": Means Our place(s) of business located at Level 14, 345 George Street, Sydney, New South Wales 2000.
"System": means any online communications infrastructure that hillsvet.learnworlds.com makes available through the Website either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links;
"User" / "Users": means any third party that accesses the Website and is not employed by Hill's Pet Nutrition and acting in the course of their employment;
"Website": means the website that you are currently using  hillsvet.learnworlds.com and any sub-domains of this site (e.g. subdomain.yourschool.com) unless expressly excluded by their own terms and conditions; and
"We/Us/Our": means Hill's Pet Nutrition, a company incorporated in Australia with Company ABN 86003954550, located 
at Level 14, 345 George Street, Sydney, New South Wales 2000.

2. Age Restrictions

Persons under the age of 18 should use this Website only with the supervision of an Adult. 

3. Business Customers

These Terms and Conditions also apply to customers procuring Services in the course of business.

4. Intellectual Property

  • 4.1 These Terms and Conditions, all Content included on the Website, unless uploaded by Users, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software is the property of Hill's Pet Nutrition, our affiliates or other relevant third parties. By continuing to use the Website you acknowledge that such material is protected by applicable Australian and International intellectual property and other laws.
  • 4.2 You may not reproduce, copy, distribute, store or in any other fashion re-use material from the Website unless otherwise indicated on the Website or unless given Our express written permission to do so.

9. Accounts

  • 9.1 In order to procure Services on this Website and to use certain other parts of the System, you are required to create an Account which will contain certain personal details. By continuing to use this Websiteyou represent and warrant that:
  • 9.1.1 all information you submit is accurate and truthful; and
  • 9.1.2 you will keep your account information accurate and up-to-date. Your creation of an Account is further affirmation of your representation and warranty.

We accept no liability for any losses or damages incurred as a result of your Account details being shared by you. 10. Termination and Cancellation of Accounts

  • 10.1 Either hillsvet.learnworlds.com or you may terminate your Account. If We terminate your Account, you will be notified by email and an explanation for the termination will be provided. Notwithstanding the foregoing, We reserve the right to terminate without giving reasons.
  • 10.2 If We terminate your Account, any current or pending orders on your Account will be cancelled and provision of Services will not commence.

11. Services and Availability

  • 11.1 Whilst every effort has been made to ensure that all general descriptions of Services available from hillsvet.learnworlds.com correspond to the actual Services that will be provided to you, We are not responsible for any variations from these descriptions as the exact nature of the Services may vary depending on your individual requirements and circumstances. This does not exclude Our liability for mistakes due to negligence on Our part and refers only to variations of the correct Services, not different Services altogether. Please refer to sub-Clause 12.8 for incorrect Services.
  • 11.2 Where appropriate, you may be required to select the required Plan of Services.
  • 11.3 We neither represent nor warrant that such Services will be available at all times and cannot necessarily confirm availability until confirming your Order. Availability indications are not provided on the Website.

12. Provision of Services

  • 12.1 No part of this Website constitutes a contractual offer capable of acceptance. Your order constitutes a contractual offer that We may, at Our sole discretion, accept. Our acceptance is indicated by Us sending to you an order confirmation email. Only once We have sent you an order confirmation email will there be a binding contract between hillsvet.learnworlds.com and you.
  • 12.2 Confirmations will be sent to you before the Services begin and shall contain the following information:
  • 12.2.1 Confirmation of the Services ordered including full details of the main characteristics of those Services;
  • 12.2.2 Relevant times and dates for the provision of the Services;
  • 12.2.3 User credentials and relevant information for accessing those services.
  • 12.3  hillsvet.learnworlds.com shall use all Our reasonable endeavours to provide the Services with reasonable skill and care.
  • 12.4 In the event that Services are not provided  you should contact Us immediately to inform Us- We will ensure that any necessary corrections are made within five (7) working days.
  • Additional terms and conditions may apply to the provision of certain Services. You will be asked to read and confirm your acceptance of any such terms and conditions.
  • 12.5 hillsvet.learnworlds.com  provides technical support via email at  hillshelplineanz@hillspet.com and/or phone (180 679 932) and will make every effort possible to respond in a timely manner but we do not guarantee a particular response time.

13. Disclaimers

  • 13.1 We make no warranty or representation that the Website will meet your requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, that it will be secure and that all information provided will be accurate. We make no guarantee of any specific results from the use of our Service or Services.

14. Changes to the Facilities and these Terms and Conditions

We reserve the right to change the Website, its Content or these Terms and Conditions at any time. You will be bound by any changes to the Terms and Conditions from the first time you use the Website following the changes. If We are required to make any changes to these Terms and Conditions by law, these changes will apply automatically to any orders currently pending in addition to any orders placed by you in the future.

15. Availability of the Website

  • 15.1 The Website is provided “as is” and on an “as available” basis. hillsvet.learnworlds.com uses industry best practices to provide a high uptime, including a fault-tolerant architecture hosted in cloud servers. We give no warranty that the Website or Facilities will be free of defects and / or faults and we do not provide any kind of refund for outages. We provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.
  • 15.2 We accept no liability for any disruption or non-availability of the Website resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

16. Limitation of Liability

  • 16.1 To the maximum extent permitted by law, We accept no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Website or any information contained therein. You should be aware that you use the Website and its Content at your own risk.

  • 16.3 Nothing in these Terms and Conditions excludes or restricts hillsvet.learnworlds.com's liability for any direct or indirect loss or damage arising out of the incorrect provision of Services or out of reliance on incorrect information included on the Website.
  • 16.4 In the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these Terms and Conditions and shall not affect the validity and enforceability of the remaining Terms and Conditions. This term shall apply only within jurisdictions where a particular term is illegal.

17. No Waiver

In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.

18. Third Party Rights

Nothing in these Terms and Conditions shall confer any rights upon any third party. The agreement created by these Terms and Conditions is between you and hillsvet.learnworlds.com

20. Law and Jurisdiction

These Terms and Conditions and the relationship between you and hillsvet.learnworlds.com shall be governed by and construed in accordance with the Law of England and Wales and hillsvet.learnworlds.com and you agree to submit to the exclusive jurisdiction of AUSTRALIA and NEW ZEALAND.
